1. Introduction

Welcome to Parduota.

These Terms and Conditions ("Terms") constitute a legally binding agreement between UAB Parduota ("Parduota", "Platform", "we", "our", or "us") and every Customer who accesses, registers for, or uses any services provided through the Platform. By creating an account, accessing the Platform, purchasing a subscription, listing products, purchasing products, using Artificial Intelligence features or otherwise using any Platform Service, the Customer confirms that they have read, understood and agreed to these Terms, the Privacy Policy and any additional policies published by Parduota.

If the Customer does not agree with these Terms, the Platform and its Services must not be used.

These Terms apply to all Customers regardless of their role, including Buyers, Sellers, Business Customers, Private Customers, Representatives and future Customer roles supported by the Platform.

2. About Parduota

Parduota is an independent technology platform and marketplace operator providing software, marketplace integrations and related commercial services enabling Customers to create, manage and complete transactions across supported sales channels.

Depending on the Services used, Parduota may operate as a technology platform, marketplace operator, commercial intermediary, logistics coordinator, payment administrator, software provider or another service provider relevant to the Platform.

Unless expressly agreed in writing, Parduota does not become the legal owner of goods solely because goods are listed, stored, photographed, processed, packed or shipped through the Platform.

3. Acceptance of these Terms

By using the Platform, the Customer confirms that they have legal capacity to enter into binding agreements, all information provided is accurate, they will keep their account information updated and they will comply with these Terms and applicable laws.

If a Customer acts on behalf of a company or other legal entity, that Customer confirms they have authority to legally bind that entity.

4. Platform Evolution

Parduota is a continuously evolving technology platform.

To improve security, functionality, operational efficiency, legal compliance and Customer experience, the Platform may introduce, modify, suspend or discontinue Services, features, workflows, subscription plans, integrations, pricing models and operational procedures.

Where required by applicable law, Customers will be informed about material changes before they become effective.

Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

5. Definitions

Platform: The complete Parduota ecosystem including the website, dashboard, mobile applications, PWA, APIs, Artificial Intelligence services, marketplace integrations, messaging services, browser extensions, automation tools and future software modules.

Customer: Any individual or legal entity registered on the Platform. A Customer may simultaneously perform one or more operational roles.

Buyer: A Customer purchasing goods or services through the Platform or Supported Marketplaces.

Seller: A Customer offering goods for sale using Platform Services.

Business Customer: A Customer acting on behalf of a registered business entity.

Private Customer: A Customer acting as a private individual.

Representative: A person authorised to act on behalf of another Customer or legal entity.

Supported Marketplace: Any third-party sales platform integrated with Parduota, present or future.

Platform Services: All services offered by Parduota including listing management, AI tools, subscriptions, Points, invoicing, fulfilment, payments, analytics and future services.

Points: Digital Platform units used to purchase eligible Platform Services. Points are not cash or electronic money unless required by law.

Subscription: A recurring service plan providing access to selected Platform Services.

Fulfilment Model: The operational model selected for preparing, storing, packing and shipping goods.

Platform Tasks: Operational actions assigned by the Platform, including uploading invoices, shipping products, identity verification and similar actions.

Operational Deadline: A deadline displayed within the Platform for completing a Platform Task.

Expected Payout Date: An estimated payment date calculated from operational information. It is not a payment guarantee.

6. Customer Accounts

Customers must register an account to access most Platform Services. The Platform may request identity verification, business verification or additional documentation where reasonably necessary.

Customers are responsible for maintaining accurate information and safeguarding their login credentials. They remain responsible for activities performed through their accounts unless unauthorised access has been promptly reported to [email protected].

7. Customer Roles

A single Customer account may activate one or more operational roles depending on available Platform functionality. Roles may include Buyer, Seller, Business Customer, Representative, Subscriber, Pay-As-You-Go Customer, Verified Customer and future roles introduced by the Platform.

8. Platform Communication

The Platform may communicate with Customers through the Customer Dashboard, Notification Centre, Platform Tasks, registered email address, push notifications, supported messaging integrations and other officially supported communication channels.

Customers are responsible for monitoring official Platform communications.

9. Product Listings

The Platform enables Customers to create, import, manage, synchronize and publish product listings through one or more Supported Marketplaces.

Listings may be created using manual entry, product import tools, barcode recognition, Artificial Intelligence services, API integrations, marketplace synchronization or future technologies introduced by the Platform.

The Customer remains solely responsible for ensuring that every listing is lawful, accurate, complete and complies with applicable legislation, intellectual property rights and the policies of the relevant Supported Marketplace.

Where the Platform provides automated suggestions or AI-generated content, such information is provided solely as an operational aid. The Customer remains responsible for reviewing and approving all listing information before publication.

The Platform reserves the right to refuse, suspend or remove listings that may violate applicable law, Platform policies, Supported Marketplace requirements or present an unacceptable operational or legal risk.

10. Product Ownership

Unless expressly agreed otherwise in writing, ownership of goods remains with the Seller until ownership is transferred directly to the Buyer.

The use of Platform Services, including storage, photography, cataloguing, listing creation, packaging, shipment coordination or payment administration, shall not be interpreted as transferring ownership of goods to Parduota.

11. Supported Marketplace Integrations

The Platform may integrate with one or more Supported Marketplaces.

Each Supported Marketplace operates independently and maintains its own terms of service, seller requirements, API specifications, fee structure, dispute procedures and technical standards.

Customers acknowledge that Parduota has no authority to modify or control decisions made by Supported Marketplaces and shall not be liable for marketplace actions including listing removals, account suspensions, API modifications, policy changes or technical outages.

12. Fulfilment Models

The Platform supports multiple fulfilment models including Parduota Fulfilment, Self Fulfilment, Third-Party Fulfilment and future fulfilment models.

Each model may provide different operational responsibilities, pricing, processing times, payout conditions and optional protection services.

13. Operational Responsibilities

Responsibilities depend upon the fulfilment model selected.

Customers using Self Fulfilment remain responsible for secure packaging, accurate labelling, shipment documentation, customs declarations where applicable, dispatch within required deadlines, tracking information and compliance with Platform Procedures.

Failure to comply may affect transaction processing, Customer standing, Platform Services and payout eligibility.

14. Platform Procedures

The Platform publishes operational procedures covering packaging, shipment preparation, invoice submission, customs documentation, verification, returns, communications and other workflows.

Operational procedures published within the Platform form part of these Terms and may be updated without requiring amendments to this document.

15. Platform Tasks

The Platform may assign operational tasks including Upload Invoice, Ship Product, Confirm Dispatch, Upload Tracking Information, Verify Identity, Provide Customs Documentation, Respond to Buyer Requests, Accept Return Requests and other operational actions.

Customers remain responsible for completing assigned Platform Tasks before the applicable Operational Deadline.

16. Operational Deadlines

Operational Deadlines are displayed individually within the Platform.

Failure to comply may result in delayed processing, delayed payouts, temporary service restrictions, additional administrative procedures or suspension of selected Platform Services.

17. Artificial Intelligence Services

Artificial Intelligence features are provided solely to assist Customers.

Customers remain fully responsible for reviewing, correcting where necessary and approving all AI-generated content prior to publication.

Parduota does not warrant that AI-generated content is complete, accurate or suitable for any particular purpose.

18. Platform Fees

Platform fees may vary depending on subscription plan, fulfilment model, Supported Marketplace, destination country, category of goods, optional services, promotional campaigns, Customer eligibility and operational requirements.

Current Platform fees are displayed within the Platform.

19. Payments and Payout Eligibility

Customers become eligible for payout only after all operational, contractual and legal requirements have been satisfied.

Eligibility may depend on shipment status, delivery confirmation, completion of Platform Tasks, invoice submission, verification requirements, dispute status, legal or tax obligations, outstanding financial obligations and other operational requirements.

20. Expected Payout Date

The Platform may display an Expected Payout Date for informational purposes only.

It represents an operational estimate and is not a contractual guarantee of payment. The estimated date may change whenever operational circumstances change.

21. Outstanding Financial Obligations

Where a Customer has outstanding financial obligations owed to Parduota, payout processing may be temporarily suspended until those obligations have been settled.

The Platform will, where reasonably practicable, notify the Customer of the reason and the actions required to restore payout eligibility.

22. Official Platform Communication

Official communications may be delivered through the Customer Dashboard, Notification Centre, Platform Tasks, registered email address, supported push notifications, supported messaging integrations and other officially designated communication channels.

Customers are responsible for monitoring official Platform communications.

23. Customer Compliance

Customers are expected to use the Platform honestly, responsibly and in accordance with these Terms, applicable laws and Platform Procedures. Customers shall not provide false information, offer prohibited goods, misuse Platform Services, interfere with Platform operations, intentionally circumvent Platform Procedures, engage in fraudulent activities or misuse Supported Marketplace integrations.

24. Customer Standing

Parduota may evaluate Customer compliance using operational information including transaction history, completion of Platform Tasks, fulfilment performance, dispute history, communication history, verification status, compliance with Platform Procedures, operational reliability, fraud prevention indicators and other relevant operational factors. Internal assessment methods are confidential.

25. Investigations

The Platform may investigate transactions where reasonably necessary due to disputes, fraud prevention, payment provider requests, marketplace investigations, customs procedures, shipment irregularities, legal requirements, identity verification or unusual transaction patterns. During investigations selected Platform Services may be temporarily restricted.

26. Disputes and Claims

Every dispute is unique. Parduota will make reasonable efforts to review disputes fairly, objectively and in good faith using information provided by Buyers, Sellers, Supported Marketplaces, payment providers, shipping providers, insurers, governmental authorities and other relevant parties. Similar cases may result in different outcomes depending on available evidence.

27. Temporary Restrictions

To protect Customers, the Platform and third parties, Parduota may temporarily restrict listings, payouts, selected Platform Services, require additional verification or temporarily limit account functionality while resolving operational issues.

28. Account Suspension

The Platform may temporarily suspend or permanently terminate access where reasonably necessary, including repeated violations of these Terms, repeated failure to follow Platform Procedures, fraudulent activity, false information, repeated failure to complete Platform Tasks, significant operational disruption or unacceptable legal or financial risk. Where reasonably practicable, Customers will be informed of the reason.

29. Outstanding Financial Obligations

Where Customers owe outstanding amounts to Parduota, payout processing may remain temporarily suspended until those obligations have been satisfied. The Platform will, where reasonably practicable, notify the Customer of the reason and required actions.

30. Customs, Taxes and Government Charges

Customers acknowledge that customs authorities, tax authorities or other governmental institutions may review transactions after shipment or delivery. Additional duties, taxes or brokerage fees may arise after completion of a transaction. Unless otherwise agreed, Customers remain responsible for such obligations arising from their transactions.

31. Recovery of Direct Costs

Where a Customer's actions or failure to comply with these Terms directly cause documented operational costs, shipping costs, marketplace charges or other direct financial losses, Parduota may require reimbursement to the extent permitted by applicable law.

32. Limitation of Liability

To the maximum extent permitted by applicable law, Parduota shall not be liable for indirect, incidental, consequential or punitive damages arising from use of the Platform. Nothing limits liability where prohibited by law.

33. Force Majeure

Parduota shall not be responsible for delays or failures caused by circumstances beyond its reasonable control including natural disasters, war, cyberattacks, governmental actions, customs restrictions, labour disputes, epidemics, failures of telecommunications, Supported Marketplaces, payment providers or shipping providers.

34. Governing Law

These Terms are governed by the laws of the Republic of Lithuania unless mandatory law provides otherwise. Disputes not resolved amicably shall be submitted to the competent courts having jurisdiction. Mandatory consumer rights remain unaffected.

Official contact information for UAB Parduota, including registered office details, email and other official communication information, is published on the Platform Contact page and may be updated without requiring amendments to these Terms.

36. Changes to these Terms

Parduota may update these Terms to reflect changes in law, Platform Services, Supported Marketplace requirements, operational procedures, security, technology or business operations. Where required by law, Customers will be informed before material changes become effective.

37. Final Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement governing use of the Platform unless supplemented by additional Platform policies or agreements.

Annex A. Consumer rights (European Union)

This Annex is not part of the Master Edition 2026 text. It carries over the mandatory consumer provisions from the previously published Terms, which cannot lawfully be excluded and which the Master Edition does not address. It is retained pending legal review.

If you are a consumer resident in the European Union buying from a business Seller, you generally have the right to withdraw from a distance contract within 14 days of receiving the goods, without giving a reason. Certain exceptions apply, including goods made to order and goods that have been installed or altered. Purchases from private (non-business) Sellers are not covered by the statutory right of withdrawal.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited — including a consumer's statutory rights. If you are a consumer, you keep the protection of the mandatory laws of your country of residence and may bring proceedings in your local courts.

Consumers in the EU may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr, and, in Lithuania, the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba).

Annex B. Retained platform terms

This Annex is not part of the Master Edition 2026 text. It retains provisions from the previously published Terms that describe how the Platform actually operates today — the content licence needed to republish listings to external marketplaces, the rules governing Points and Subscriptions, and the eligibility and prohibited-goods rules — none of which the Master Edition addresses. If any of this is intended to live in Platform Procedures instead (see §14), delete the corresponding clause here so the same rule is not stated in two places.

B1. Intellectual property and content licence

The Platform, its software, design and trade marks belong to Parduota or its licensors.

By uploading listing content, including photographs, the Customer confirms they have the right to do so and grants Parduota a non-exclusive, worldwide, royalty-free licence to host, display, resize and distribute that content for the purpose of operating and promoting the Platform, including publication to Supported Marketplaces the Customer has enabled. The licence continues for as long as the content remains published on a Supported Marketplace through the Platform.

Points are defined in §5. In addition to that definition, Points:

B3. Subscriptions

Paid Subscription plans renew automatically for successive periods until cancelled. Customers may cancel at any time; cancellation takes effect at the end of the current paid period and does not refund the period already paid, except where required by law.

Parduota may change plan prices with [NOTICE PERIOD] notice, effective from the Customer's next renewal. Where a Subscription is terminated for breach of these Terms, subscription fees already paid and Points already spent are not refunded.

B4. Payment processing

Payments are processed by third-party payment providers, currently Stripe and PayPal. Card details are entered on the provider's own hosted checkout and are never received or stored by Parduota. Use of those services is additionally subject to the provider's own terms.

In addition to §23, Sellers confirm they have the legal right to sell each item. The following are prohibited: stolen goods, counterfeit goods, recalled goods, and safety-critical parts that do not meet applicable standards.

The following conduct is also prohibited:

Sellers are responsible for determining and charging the correct VAT for their tax status (private, business without VAT, or VAT-registered) and for issuing invoices where required.
